These Terms of Service (“Terms”) describe the terms and conditions under which SocietyMeds (“we,” “our,” or “us”) provides its services to you. Please read these Terms carefully before accessing or using our website, mobile applications, or any related online services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Services Overview, Availability, and Eligibility

The Services provided by SocietyMeds include access to licensed healthcare providers, digital wellness tools, pharmacy coordination, and related technology to support patient care and convenience. SocietyMeds itself does not provide medical care but connects users with independent, licensed healthcare providers (“Providers”) through telehealth.

These Services are available only to individuals located within the United States. By using the Services, you represent that you are at least 18 years of age, located in a state where SocietyMeds operates, and legally capable of entering into binding agreements.

2. Platform Services

SocietyMeds provides an online telehealth platform connecting users with independent healthcare Providers and network pharmacies. These Providers use electronic communication tools such as video, audio, and messaging to deliver healthcare services and prescriptions when medically appropriate.

SocietyMeds does not itself practice medicine. The Providers are solely responsible for the quality and appropriateness of care provided. The Services are not a substitute for in-person medical evaluation in all cases, and you should always consult your healthcare professional for ongoing medical advice.

3. Registration and Account Creation

Certain portions of the Services require you to create an account. You agree to provide accurate, current, and complete information when creating or updating your account. You are responsible for safeguarding your password and all activities under your account. SocietyMeds reserves the right to suspend or terminate any account if false or misleading information is provided.

4. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal and health information.

5. Ownership and License to Use the Services

All content, design, software, and materials on the Services are the property of SocietyMeds or its licensors. We grant you a limited, non-exclusive, revocable license to use the Services solely for your personal, non-commercial purposes. Any unauthorized use, reproduction, or distribution is prohibited.

6. User Content and License

By submitting content through the Services, including feedback, data, or communications, you grant SocietyMeds a worldwide, royalty-free, perpetual license to use, reproduce, and improve the Services. You retain ownership of any health information you provide, subject to our Privacy Policy.

7. Copyright Notices

If you believe your copyright has been infringed, please contact us at info@societymeds.com with a detailed notice including your contact information, description of the work, and evidence of ownership.

8. Restrictions on Use

You agree not to use the Services for any unlawful, harmful, or abusive purpose, or in any manner that could damage, disable, or impair the Services. You may not attempt to gain unauthorized access or interfere with other users’ experience.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available.” SocietyMeds disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be error-free or uninterrupted.

10. Limitation of Liability

To the fullest extent permitted by law, SocietyMeds and its affiliates shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Services. Our total liability will not exceed $100 or the amount paid by you to access the Services within the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless SocietyMeds, its affiliates, and their officers, employees, and contractors from any claims, damages, or expenses arising out of your misuse of the Services or violation of these Terms.

12. Changes to These Terms

SocietyMeds may update or modify these Terms from time to time. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. The date of the latest revision will be indicated above.

13. Payments and Refunds

All payments are processed securely through authorized payment processors. Refunds, if applicable, will follow our posted refund and treatment availability policy. Fees paid for services are typically non-refundable once fulfilled.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved through binding arbitration in Wilmington, Delaware, as described in our Arbitration section.

15. Communications by Text Message and Email

By providing your contact information, you consent to receive communications, including order updates and marketing emails, from SocietyMeds. You may opt out at any time by following the unsubscribe instructions in our messages.
